Our expertise
Sell-side advisory.
A sale process is largely decided in preparation. We ready the asset, the model and the materials before the first buyer is approached, then manage enquiries, diligence and offers alongside the owner's legal and specialist advisers.

What the work involves
Buyers price uncertainty. Every gap in the information, every assumption a buyer cannot verify and every issue found late in diligence becomes a deduction from the price or a condition on the offer. Most of the value an adviser adds on the sell side is therefore added before the process launches.
We work as an extension of the owner’s team from preparation through to completion, alongside the legal, tax and technical advisers appointed for the transaction.
Selected experience
- 500 MW battery storage pipeline, United Kingdom, sell-side advisory and full fundraising on a build-and-operate portfolio
- 100 MW solar PV, Bangladesh, sell-side advisory including financial modelling, technical feasibility assessment and market analysis
- 30,000 sqm innovation campus, Nigeria, investment materials and transaction management for a phased raise
Vendor preparation
We review the asset as a buyer would: contracts, permits, land rights, operating record, counterparties and the financial model. Issues that can be fixed are fixed. Issues that cannot are disclosed on the seller’s terms, with the evidence and the proposed treatment set out, which costs less than having a buyer discover them.
Valuation and the financial model
The model a buyer receives sets the starting point for every valuation discussion. We build or review it to the FAST Standard so that a buyer’s adviser can follow and test it, and we establish a valuation range from discounted cash flows and comparable transactions before offers arrive. The owner then knows which bids are credible and where the walk-away point sits.
Materials and data room
A teaser, an information memorandum and a data room indexed to the questions buyers ask. For development-stage assets and platforms, the materials separate what is permitted, contracted and funded from what is planned, because buyers value the two differently.
Buyer approach and process design
Strategic buyers, infrastructure funds, utilities and development finance investors assess the same asset on different criteria. We agree the buyer list, the sequence and the degree of competition with the owner, balancing price tension against confidentiality and management time.
Managing diligence
We coordinate responses to information requests, keep answers consistent across bidders and track the issues each party raises. A question answered quickly and with evidence stays a question. Left open, it becomes a price adjustment.
Comparing offers
Headline price is one term among several. Conditionality, financing certainty, deferred consideration, warranties, required consents and the time to completion all change what an offer is worth. We set bids out on a common basis so the owner can compare value and deliverability.
Infrastructure sell-side advisory: common questions
Answers from Global Infrastructure Advisors. Meet our team and explore our published infrastructure experience.
How does GIA prepare an infrastructure asset for a sale process?
GIA helps clarify the owner's objectives, review the business plan and financial model, identify information gaps and organise investor materials. Preparation reflects the asset's development or operating status so prospective investors can assess the proposition on a coherent basis.
Why address data gaps before launching a sale process?
Unresolved inconsistencies can slow investor review and make offers harder to compare. GIA identifies gaps in the business plan, model and supporting information early so the owner can decide what to resolve and what to disclose clearly.
How should competing acquisition offers be compared?
Offers need to be assessed against their conditions, funding basis, timetable and execution requirements as well as headline value. GIA supports the comparison and explains outstanding commercial issues so the owner can evaluate the available options.
What is GIA's role during investor due diligence?
Within the agreed mandate, GIA coordinates enquiries and diligence requests, supports the commercial workstreams and works alongside the client's legal and specialist advisers. The aim is to keep information and decisions organised through the transaction process.
